These Terms apply to all clients, users, and visitors engaging with Yalla Development Services (hereafter referred to as “we”, “us”, or “our”). By using our platform or hiring our services, you confirm that you are legally capable of entering into a binding agreement and that you understand and accept these terms.
Service Engagement
Yalla Development Services provides digital solutions including web and app development, digital marketing, branding, creative design, localization, and technology consulting. Service delivery is subject to written approval, quotation acceptance, or signed contract outlining project scope, pricing, deliverables, and timelines.
Clients are responsible for providing complete and accurate information necessary for us to deliver the agreed-upon services. Any delays caused by incomplete or delayed information may impact the timeline and overall cost.
We reserve the right to accept or reject projects at our discretion. We may also terminate a contract if it becomes evident that the project violates UAE law, includes fraudulent content, or compromises the safety or reputation of our team or company.
Payment Terms
All services are offered on a quoted or contractual basis. Pricing is exclusive of VAT unless otherwise stated. Payment terms will be clearly outlined in the official quotation or service agreement.
In general, a non-refundable deposit is required at the start of the project, with the remaining balance due upon key milestones or project completion. Late payments may be subject to delays in delivery, interest charges, or suspension of ongoing services.
We reserve the right to withhold final deliverables until full payment is received.
Intellectual Property
Unless expressly stated otherwise in a written agreement, all intellectual property created by Yalla Development Services—including source code, system architectures, technical documentation, written content, and visual assets— shall remain the exclusive property of Yalla Development Services until full payment for the associated project or service has been received.
Upon final settlement, ownership of custom project materials may be transferred to the client, with exceptions for third-party tools, fonts, stock images, or proprietary frameworks that are governed by their own licenses.
We retain the right to showcase completed work in our portfolio, online or offline, unless the client specifically requests confidentiality in writing.
Client Content
Clients are responsible for the legality, accuracy, and authenticity of any content (text, images, trademarks, or data) provided for use in their projects. We do not accept liability for copyright infringement, false information, or unlawful material submitted by clients.
If requested, we can provide original content creation services, including copywriting, photography, and branding, which are quoted separately and subject to approval.
Project Timeline
Project timelines will be established based on scope and mutual agreement. Timelines may be adjusted due to change requests, client response delays, or third-party dependencies.
While we strive to deliver on schedule, unforeseen circumstances such as technical failures, regulatory delays, or force majeure events may impact project delivery. We will communicate proactively and work collaboratively to minimize disruption.
Revisions and Change Requests
Each project includes a defined number of revision rounds as stated in the scope of work. Any additional revisions or out-of-scope requests may incur additional charges and extend the timeline.
Changes requested after project sign-off may require a formal change order or additional agreement before implementation.
Confidentiality
We respect your privacy and protect your proprietary information. All materials shared with us in the course of the project will remain confidential and will not be shared, reused, or disclosed to third parties without prior written consent, except as required by UAE law.
Similarly, we expect clients to treat our internal processes, pricing models, and project documentation as confidential.
Limitation of Liability
While we take every precaution to deliver high-quality, secure, and functional digital products, we cannot guarantee uninterrupted service, third-party system performance, or complete immunity from cyber threats.
Under no circumstances will Yalla Development Services be liable for indirect damages, loss of revenue, reputational harm, or business interruption resulting from the use of our services.
Our total liability shall not exceed the fees paid by the client for the specific project in question.
Compliance with UAE Law
We operate in full compliance with all relevant regulations under the UAE legal system, including the Cybercrime Law, Data Protection Law, and guidelines set forth by the Telecommunications and Digital Government Regulatory Authority (TDRA).
All users and clients agree to refrain from using our services to engage in activities that violate any applicable local or federal law, including content that is defamatory, fraudulent, religiously insensitive, or politically inappropriate within the cultural context of the UAE.
Termination of Services
Either party may terminate the engagement with written notice if the other party breaches any material term of the agreement and fails to remedy the breach within 14 days. In case of termination, the client is responsible for all work completed up to that date and any unpaid balances.
Early termination may also forfeit certain service benefits, warranties, or post-launch support depending on the nature of the agreement.
Amendments
Yalla Development Services reserves the right to update or revise these Terms and Conditions at any time without prior notice. Continued use of our website or services after such changes constitutes your acceptance of the revised terms.
Clients will be informed of major policy changes that impact ongoing projects or existing service agreements.
